If you are under the age of 18, but at least 13 years of age, you may order products or services only under the supervision of a parent or legal guardian who agrees to be bound by these Terms of Use.
Children under the age of 13 may view the Website but MAY NOT ORDER PRODUCTS OR SERVICES.

4. AMS Manufacturing & Printing Obligations
4.1 Access to and use of the Website and Services Subject to user complying with and discharging each of its obligations under these Terms of Use, AMS Manufacturing & Printing shall allow user to access and use the Website and the services .
4.2 Privacy: AMS Manufacturing & Printing may collect personal data concerning the user in the course of and incidental to users use of the Website and services. AMS Manufacturing & Printing shall comply with, and user hereby consents irrevocably and unconditionally to AMS Manufacturing & Printings collection, use and disclosure of such data in accordance with, its Privacy Policy (the terms of which may be accessed through the link on the Website).
4.3 Training
User acknowledges that AMS Manufacturing & Printing has no obligation to user to provide any training or other support in relation to the use or operation of the Website and/or services.
4.4 Modification of the Website.
AMS Manufacturing & Printing reserves the right to modify the organization, structure, content or "look and feel" of the Website and/or the services, and may change, suspend, or discontinue any aspect of the Website and/or the service at any time without notice or any liability to user or any person. AMS Manufacturing & Printing shall have complete discretion over the features, functions and other terms and conditions on which the Website and the service is made available.
5. Intellectual Property Rights
5.1 Reservation of title
user acknowledges that these Terms of Use do not convey and that it derives no right, title or interest in or to any Intellectual Property Rights that vest or subsist in or relate to the Website and/or the services provided other than pursuant to the express authorisation set out in clause 4.1. AMS Manufacturing & Printing grants user a limited revocable licence to access and use the Website and the service for its intended purposes, subject to users compliance with these Terms of Use. This licence does not include the right to collect or use information contained on the Website for purposes prohibited by AMS Manufacturing & Printing; to compete with Piki Print; to create derivative works based on the layout or design, look-and-feel, or structure of the Website; or download or copy the Website (other than page caching). If user uses the Website in a manner that exceeds the scope of this licence or if it breaches these Terms of Use, AMS Manufacturing & Printing may revoke the licence and deny access to and use of the Website.
5.2 Prohibition on infringement
User acknowledges and agrees that AMS Manufacturing & Printing does not permit, authorise or condone and hereby expressly prohibits user from accessing or using the Website and/or the services in a manner that infringes, or is likely to infringe, the Intellectual Property Rights, or any other rights or privileges, of any person anywhere in the world.
5.3 Derivative material
Subject to clause 5.2, user shall own any Intellectual Property Rights in any original material that it authors, designs or creates using the functionality provided by the Website. If the user chooses to add any item to a public gallery, In consideration of the authorisation granted under clause 4.1, User hereby grants to AMS Manufacturing & Printing an irrevocable, perpetual, non-exclusive, world-wide licence to do all acts and things (including to authorise other persons to do all acts and things) comprised within the said Intellectual Property Rights.
.4 User Content and Limited License to AMS The client retains all Intellectual Property Rights to the original artwork, designs, and content they upload to the service ("User Content"). By uploading User Content to their webstore, the client grants AMS Manufacturing & Printing a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify (for formatting purposes), display, and distribute the User Content. This license is granted for the sole and exclusive purpose of fulfilling orders, providing the webstore service, processing shipments, and generating product mockups for display on the client's webstore. This license does not grant AMS the right to use User Content for its own corporate marketing or third-party sales without the client's explicit written permission.
5.5 Copyright & Trademark Infringement Policy AMS Manufacturing & Printing respects the intellectual property rights of others. It is the client's exclusive responsibility to ensure their User Content does not infringe upon the rights of any third party. AMS will respond to and investigate notices of alleged copyright or trademark infringement that comply with applicable law.
If you are a rights owner and believe that any content on our service infringes upon your rights, you may submit a notification by providing our designated agent with the following information in writing:
A physical or electronic signature of the person authorized to act on behalf of the owner of the exclusive right that is allegedly infringed.
Identification of the copyrighted work or trademark claimed to have been infringed.
Identification of the material that is claimed to be infringing and information reasonably sufficient to permit AMS to locate the material.
Your contact information, including your address, telephone number, and email address.
A statement that you have a good faith belief that the use of the material in the manner complained of is not authorized by the copyright or trademark owner, its agent, or the law.
A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of the exclusive right that is allegedly infringed.
Notices of infringement claims should be sent to: [Your Designated Agent's Email and/or Physical Address].
AMS reserves the right to remove any content alleged to be infringing without prior notice and at its sole discretion. In appropriate circumstances, AMS will also terminate the account of clients determined to be repeat infringers.
6. Registration
User Account, Password, and Security You will receive a password and account designation upon completing the Site's registration process. You are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under your password or account. You agree to (a) immediately notify AMS Manufacturing & Printing of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session. AMS Manufacturing & Printing cannot and will not be liable for any loss or damage arising from your failure to comply with this Section 6.
7. Warranties

7.5 No representation or reliance
(a) User acknowledges that neither AMS Manufacturing & Printing nor any person acting on Piki Prints behalf has made any representation or other inducement to user to enter into these Terms of Use, except for representations or inducements expressly set out in these Terms of Use.
(b) User acknowledges and confirms that it does not enter into these Terms of Use in reliance on any representation or other inducement by or on behalf of AMS Manufacturing & Printing, except for representations or inducements expressly set out in these Terms of Use.
8. Exclusion and Limitation of Liability
8.1 Subject to law
Nothing contained in these Terms of Use excludes, restricts, limits or modifies any:
(a) implied condition, warranty or other term of these Terms of Use where pursuant to applicable law to do so is unlawful or void; or
(b) liability in respect of a breach of these Terms of Use where pursuant to applicable law to do so is unlawful or void; or
(c) liability for fraud or deceit; or
(d) liability for death or personal injury caused by the negligence of either party.
8.2 Exclusion of liability
Subject only to Clause 8.1, in no event shall AMS Manufacturing & Printing be liable to user or to any person under or in connection with these Terms of Use or in respect of the use of (or failure or performance of) the Website and/or the services provided for:
(a) malfunctions, failures, defects, acts or omissions or any other default or liability caused directly or indirectly by:
(b) any loss, cost, damage or expense of any nature arising or caused directly or indirectly by any breach of users obligations or responsibilities set out in these Terms of Use;
(c) any loss of profit, business interruption, loss of or damage to goodwill, and/or any expectation benefit;
(d) Subscribers liability to any person; or
(e) incidental, indirect, consequential, special, exemplary or punitive damages of any nature, whether such liability is asserted on the basis of common or civil law or in equity, including pursuant to any statute, contract, tort (including negligence or strict liability) or otherwise and notwithstanding that AMS Manufacturing & Printing has been advised of the possibility of any particular loss or damage.
8.3 Links
AMS Manufacturing & Printing may, in its sole and unfettered discretion, and without users consent, place links on the Website to other websites that are owned or operated by other persons. User acknowledges and agrees that AMS Manufacturing & Printing is not responsible for the operation of or content located on any such website, and AMS Manufacturing & Printing cannot and does not warrant that the content of such websites is accurate, complete, legal and/or inoffensive. By choosing to link to these other websites, user acknowledges and agrees that it may not make any claim against AMS Manufacturing & Printing for any damages or losses of any kind arising from the other website and/or the link.
8.4 Limitation of liability
Subject to Clause 8.1, and except to the extent specifically excluded under Clause 8.2 or elsewhere in these Terms of Use, AMS Manufacturing & Printing's sole liability to Subscriber for any and all breaches of any term or terms of these Terms of Use, whether express or implied, shall be limited to the substitution or replacement of any product or service that has been ordered and paid for by Subscriber using the Website.
8.5 Indemnity User shall indemnify and hereby releases unconditionally AMS Manufacturing & Printing , without set off or adjustment, against and from any liability, loss, cost, expense or damage, including all legal fees, arising from or relating to: (a) its use of the Website and/or services and/or the media or content posted or uploaded by it, including any alleged or actual violation of any law directly or indirectly arising from such use; (b) any breach or alleged breach by it of these Terms of Use; (c) the misuse or misappropriation of the said media or content; and (d) any infringement or alleged infringement by user of any persons Intellectual Property Rights, rights of privacy or publication, or otherwise anywhere in the world.
9. Termination
9.1 Termination
(a) At any time and with or without cause, AMS Manufacturing & Printing may immediately terminate either these Terms of Use or any or all rights and privileges granted to user hereunder, including suspending users access to and/or use of the Website and/or the Services provided by AMS Manufacturing & Printing. In no event shall any such termination or suspension by AMS Manufacturing & Printing relieve user of any obligation that has accrued under these Terms of Use prior to the date of such termination or suspension.

9.2 Effect of termination
(a) On any expiry or termination of these Terms of Use, AMS Manufacturing & Printing may delete any websites, web pages, files, graphics, media or other content or material relating to users use of the Website and/or the Services provided and AMS Manufacturing & Printing shall have no liability to user or any person for doing so.
(b) The expiry or termination of these Terms of Use shall not prejudice or affect any cause of action, right, remedy or defence which shall have accrued or shall thereafter accrue to either party.
10. General
10.1 Severability
If a clause or any part of any clause of these Terms of Use or a right or remedy of a party under these Terms of Use, is found to be void, invalid or unenforceable by any court or tribunal having jurisdiction in respect of these Terms of Use, then:
(a) it shall be read down or severed in that jurisdiction only to the extent that it is void, invalid or unenforceable; and
(b) it does not effect the validity or enforceability of that term or clause in another jurisdiction or the remaining terms or clauses in any jurisdiction.
10.2 Variation
AMS Manufacturing & Printing may amend unilaterally these Terms of Use in its sole and unfettered discretion at any time, and user hereby agrees to abide by and be fully bound by such amended terms. The amended terms shall be effective automatically and immediately once they are posted on the Website, and user's continued access and use of the Website and the Services on or after such effective time constitutes the user's unequivocal and unconditional acceptance of the amended terms. These Terms of Use may not be otherwise amended. If user does not agree to any amendments to these Terms of Use or to any of the current terms, its only right and remedy is to cease using the Website and the AMS Manufacturing & Printing services.
10.3 Waiver
A waiver, consent, election or acquiescence given by a party under these Terms of Use is only effective and binding on that party if it is given or confirmed in writing by that party.
10.4 Assignment
(a) AMS Manufacturing & Printing may at any time transfer, assign, novate or otherwise dispose of any or all of its rights or obligations under these Terms of Use on giving user no less than five (5) days notice in writing.
10.5 Governing Law and Jurisdiction
(a) These Terms of Use shall be governed by and construed in accordance with the law in force for the time being in Delaware, United States of America (without regard to its conflict of law rules).
(b) Each party irrevocably submits to the exclusive jurisdiction of the courts of Delaware, and the courts competent to determine appeals from those courts, with respect to any proceedings that may be brought at any time relating to these.
11. AMS Transfers Plus
Ownership of Domain URL:
AMS Manufacturing & Printing LLC (hereafter referred to as 'AMS') will own the domain URL requested by the client. If the requested domain is not available, AMS will contact the client for an alternative URL. Should the client wish to terminate their service, they can purchase the domain URL from AMS, provided that at least 90 days have passed since sign-up, and the domain will be transferred to the client's ownership upon payment. AMS will purchase the domain outright if it costs less than $30. Clients can purchase a new domain URL at any time for the cost of the domain.
Shipment Responsibility:
AMS is not responsible for shipments once they have been scanned in by UPS, with the exception of packages damaged by AMS. AMS offers no guarantee on transit speeds. Packages transiting through UPS are subject to delays. For questions regarding a delayed order, clients should contact UPS directly with their tracking number. AMS will assist in filing claims for lost or damaged packages if necessary.
11.1 Grant of Comprehensive Licenses to AMS By using the AMS Transfers Plus service, the Client grants AMS Manufacturing & Printing LLC and its affiliates, successors, and assigns ("AMS") a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, non-exclusive, sublicensable, and transferable license to use, host, store, reproduce, modify, create derivative works from, communicate, publish, publicly perform, publicly display, and distribute any and all content, artwork, designs, logos, trademarks, and materials uploaded or submitted by the Client or the Client's end-customers ("User Content"). This license is granted for any and all purposes related to AMS's business, including but not limited to: fulfilling orders; providing, maintaining, and improving the service; developing new products and features; and for all marketing, promotional, and commercial activities of AMS, in any media formats and through any media channels, at AMS's sole discretion, without any further notice or compensation to the Client. This license survives the termination of the Client's account.
11.2 Data Ownership, Usage, and Retention The Client acknowledges and agrees that all data submitted to, collected by, or generated through the AMS Transfers Plus service becomes the property of AMS. This includes, but is not limited to, all personal information of the Client and their end-customers (such as names, addresses, email, and phone numbers), financial and transactional data, order history, usage analytics, IP addresses, and any other information provided or generated in connection with the service ("Service Data").
AMS retains full ownership and rights to all Service Data in perpetuity. AMS reserves the right to use, analyze, manipulate, disclose, sell, and otherwise commercialize the Service Data for any business purpose, including but not limited to internal analytics, marketing, product development, sharing with third-party partners, and generating aggregate data reports, all at its sole discretion. The Client hereby irrevocably consents to such use on behalf of themselves and their end-customers. AMS has no obligation to delete any Service Data upon termination of the Client's account for any reason.
11.3 Client Obligations and Responsibilities The Client is solely responsible for all User Content and for ensuring it does not infringe on any third-party rights. The Client agrees to indemnify, defend, and hold harmless AMS and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from the Client's (or their end-customers') use of the service, violation of these terms, or infringement of any third-party rights.
11.4 Payments, Fees, and Forfeiture
Billing: All fees are automatically billed to the Client's payment method on file. AMS maintains a zero-tolerance policy for overdue payments.
Suspension & Fees: In the event of a payment failure, service will be suspended immediately and without notice. A $100 reactivation fee will be mandatory if an account is suspended three (3) or more times.
Chargebacks: For each chargeback incurred, the Client will be immediately liable for the full amount of the chargeback plus a non-refundable $50 administrative fee. AMS reserves the right to use any means necessary to collect these amounts, including deducting from pending commissions or engaging collection agencies. An excessive number of chargebacks, as determined by AMS in its sole discretion, will result in immediate and permanent account termination and forfeiture of all pending and future commissions.
Refund Policy for Annual Plans
All payments for annual subscription plans are non-refundable. By subscribing to an annual plan, the client agrees to commit to the full term and acknowledges that no refunds, partial or full, will be issued if the service is canceled before the end of the subscription period.
Clients may cancel their subscription at any time to prevent automatic renewal at the end of the term, but cancellation does not entitle the client to a refund for any unused portion of the current annual plan.
This policy applies regardless of usage, account activity, or reason for cancellation.
Billing and Payments:
Billing will be automatic using the card inputted at sign-up. If your bill becomes overdue, your webstore will be suspended immediately. There is no grace period for overdue bills. If a client account receives three or more suspension notices, a $100 reactivation fee will be assessed. Clients will receive invoices with due dates via the email entered at sign-up or their preferred communication method. Overdue notifications will be sent via email and SMS if provided. Payments must be made in US dollars. AMS reserves the right to change its fees and payment terms at any time, with 30 days' notice to the client.
Commission Payments:
Commission payments are held until the order ships plus two days. Clients will receive their commissions at the end of each month. Clients can also manually withdraw available funds for a small fee, which will be disclosed at the time of withdrawal. Any disputes regarding commission payments must be submitted in writing within 30 days of the payment date.
Analytics and Service Improvement
AMS may collect, analyze, and use anonymized or aggregated client and customer data, including usage behavior, purchasing trends, and design preferences, for internal business purposes such as improving platform features, enhancing customer experience, or developing new services. No personally identifiable information will be shared or sold without the client’s explicit consent.
Scope of Support
AMS provides general support relating to order fulfillment, platform usage, and system functionality. AMS does not provide business coaching, legal guidance, design revisions, custom development, or assistance with third-party integrations unless explicitly stated in the service plan. Clients are responsible for learning how to use the platform via the provided Help Center, tutorials, and training videos.
Non-CircumventionClients agree not to directly or indirectly circumvent AMS by seeking to establish independent relationships with AMS employees, contractors, suppliers, or manufacturing partners introduced through the AMS platform or services. Any violation of this provision may result in immediate termination and legal action.
Order Cut-off Times:
AMS Transfers Plus Wholesale accounts are subject to an order cut-off of 1 PM CST Monday - Friday. Webstore orders have a standard guaranteed cut-off at 3 PM CST. Orders placed up to 4:30 PM CST will be eligible but not guaranteed for same-day shipping. Any orders placed after 4:30 PM CST will ship the next business day.
Publicity and Marketing Use
Clients agree that AMS may reference their name, logo, store name, or general success metrics in marketing materials, social media, case studies, or client showcases. AMS will not disclose specific revenue, personally identifying customer data, or private communications without the client’s written consent.
Promo/Discount Codes:
If the client webstore offers promo or discount codes to customers, the client will receive their full commission as if no promo code was entered. The client will then be invoiced for the amount of the discount provided to their customer to make AMS whole. This will be invoiced on the day the order ships, and the client will have seven days to pay the invoice. Failure to pay invoices when due will result in an account suspension until the account is brought current. All promo codes and discounts must be pre-approved by AMS.
Term and Termination:
There is no contract term, but 30 days' notice of cancellation is required. Either party can terminate the agreement at any time for any reason. If a client account receives three or more suspension notices, a $100 reactivation fee will be assessed upon reactivation of the account. Upon termination, clients must settle any outstanding balances immediately.
Liability and Indemnification:
AMS assumes no liability or guarantees for webstore service uptime. Clients agree to indemnify and hold AMS harmless from any claims, damages, or expenses arising from their use of the service, breach of these terms, or any third-party claims. This includes, but is not limited to, any legal fees incurred by AMS in the defense of such claims. AMS's total liability to the client for any claim arising out of or in connection with these terms will not exceed the total amount paid by the client to AMS in the six months preceding the claim.
Privacy and Data Security:
Customer data and information will be available at the client's request. AMS will take reasonable measures to protect client and customer data but assumes no liability for data breaches. Clients are responsible for maintaining the confidentiality of their account login information and for any activities that occur under their account. AMS will not share client or customer data with third parties without the client's explicit consent, except as required by law.
Facility Closures:
AMS facilities will be closed for all federal holidays and from December 23, 2025, to January 2, 2026. Orders placed during these periods will be shipped the following business day. Webstore functionality will not be affected or interrupted during these periods. Clients should plan accordingly for order processing and shipping delays during these times.
Governing Law and Dispute Resolution:
This agreement will be governed under Texas state and United States law. Any disputes will be settled through binding arbitration in Houston, Texas. Clients and their customers are not allowed to enter a class action or lawsuit without arbitration. The arbitration process will follow the rules of the American Arbitration Association (AAA). Any legal fees or costs incurred in the arbitration process will be borne by the party incurring them.
Force Majeure:
AMS will not be liable for any failure to perform its obligations under these terms due to causes beyond its reasonable control, including but not limited to natural disasters, war, terrorism, civil unrest, labor strikes, or governmental actions.
Changes to Terms:
AMS reserves the right to modify these terms at any time. Clients are not entitled to any notice of changes to these terms and conditions. Continued use of the service after the effective date of the changes constitutes acceptance of the new terms.
AMS will charge the client a $50 fee plus the amount of the chargeback bill for each chargeback incurred. If the client receives more than an acceptable number of chargebacks on their account within a calendar year, they will be permanently banned, and no refund will be issued for their subscription. Additionally, their commissions will be forfeited. AMS reserves the right to determine the acceptable level of chargebacks, typically no more than one chargeback per six months. AMS also reserves the discretion to determine if a client poses an unacceptable risk at any time.
Severability:
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Entire Agreement:
These terms constitute the entire agreement between AMS and the client, superseding any prior agreements or understandings, whether written or oral, relating to the subject matter hereof.
